Welcome to SAVR (“we,” “our,” or “us”). By accessing or using the SAVR mobile application, website, or related services (collectively, the “Service”), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, downloading the app, or using any part of the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

SAVR provides an AI-powered kitchen companion that helps you:

• Track pantry items, expiration dates, and shopping lists
• Scan receipts and products to build a digital view of your kitchen
• Detect potential allergens in products based on ingredient information
• Monitor grocery spending and budgets

Allergy and ingredient information is provided for convenience only. SAVR does not guarantee the accuracy or completeness of allergen detection. Always read product labels and consult healthcare providers regarding allergies. We are not liable for any allergic reactions or health outcomes.

3. Account and Eligibility

You must be at least 13 years of age (or the age of majority in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and current information when registering.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems, other accounts, or third-party data
• Reverse engineer, decompile, or disassemble the Service (except as permitted by law)
• Use automated scripts, scrapers, or bots to access the Service without our permission
• Transmit viruses, malware, or other harmful code
• Use the Service to harass, abuse, or harm others

We reserve the right to suspend or terminate your access if we believe you have violated these Terms.

5. Intellectual Property

All content, features, and functionality of the Service (including but not limited to software, design, text, graphics, and logos) are owned by SAVR or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

6. User Content

You retain ownership of any content you submit to the Service (e.g., receipts, photos, lists). By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, store, process, and display that content solely to provide and improve the Service. You represent that you have the right to submit such content and that it does not violate any third-party rights or applicable laws.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Allergy detection and food-safety information are for informational purposes only and do not constitute medical or safety advice. Use at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, SAVR and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, profits, or goodwill) arising from your use of the Service. Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless SAVR and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Changes to Terms and Service

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. We may also modify or discontinue the Service with reasonable notice where feasible.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

13. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right. These Terms constitute the entire agreement between you and SAVR regarding the Service.
